Terms of Service

1. Agreement to Terms
These Master Terms of Service ("Terms", "Agreement") constitute a legally binding contract between DiffFlow LLC ("DiffFlow", "Company", "we", "us", or "our") and the individual or legal entity ("Customer", "User", or "you") accessing or utilizing the DiffFlow website change monitoring platform, application programming interfaces (APIs), worker infrastructure, and associated documentation (collectively, the "Service").
By creating an account, executing an order form, utilizing our APIs, or otherwise accessing the Service, you represent and warrant that: (a) you have read, understood, and agreed to be bound by these Terms; (b) you possess the legal authority to enter into this Agreement personally or on behalf of the entity you represent; and (c) your use of the Service complies with all applicable local, state, national, and international laws and regulations. If you do not agree to these Terms in their entirety, you must immediately discontinue all access to and use of the Service.
2. Service Description & License Grant
DiffFlow provides an automated website change monitoring and intelligence platform. The Service programmatically retrieves target web pages, normalizes Document Object Model (DOM) elements, extracts content via Cascading Style Sheets (CSS) selectors, computes cryptographic change differentials (diffs), and dispatches automated alerts across configured notification channels (including email, SMS, webhooks, and push notifications).
Subject to the terms and conditions of this Agreement and timely payment of applicable subscription fees, DiffFlow grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the active subscription term to access and use the Service solely for Customer's internal business or personal monitoring operations in accordance with the specifications of Customer's subscribed plan.
3. Customer Obligations & Acceptable Use Policy
Customer represents, warrants, and covenants that it will use the Service strictly in accordance with this Acceptable Use Policy. Customer shall not, directly or indirectly:
- Configure monitors against target endpoints, URLs, or web properties without legal right, authorization, or legitimate business purpose.
- Attempt to bypass, defeat, or circumvent authentication mechanisms, paywalls, CAPTCHAs, or access control barriers of third-party websites.
- Utilize the Service to harvest, scrape, or extract personal identifiable information (PII), protected health information (PHI), or confidential financial data in violation of applicable data protection regulations (including GDPR, UK GDPR, and CCPA/CPRA).
- Conduct denial-of-service (DoS) attacks, flood requests, or impose unreasonable or disproportionate load upon target servers or DiffFlow's distributed worker infrastructure.
- Probe, scan, or test the vulnerability of DiffFlow's systems, reverse engineer source code, or attempt Server-Side Request Forgery (SSRF) against internal, loopback, or private RFC 1918 networks.
- Resell, sublicense, lease, time-share, or provide unauthorized white-label access to the Service to third parties without express written authorization from DiffFlow.
DiffFlow reserves the right, in its sole discretion and without prior notice or liability, to throttle polling intervals, block target domains, or immediately suspend accounts that violate this Section.
4. Crawling Policy & Platform Safeguards
DiffFlow maintains strict automated crawling safeguards to ensure ethical and compliant data retrieval:
- SSRF Mitigation: All outbound HTTP/HTTPS requests undergo DNS pre-flight verification to block private, loopback (127.0.0.0/8), link-local (169.254.0.0/16), and internal cloud metadata endpoints.
- Domain Rate Limiting: Polling frequencies are subject to per-domain rate limits to prevent target server saturation.
- Robots.txt & Header Respect: The worker queue adheres to standard HTTP status responses, rate-limit headers (HTTP 429), and applies automated exponential backoff on target throttling.
5. Account Registration & API Security
To utilize the Service, Customer must register for an account and maintain accurate, current, and complete registration information. Customer is solely responsible for maintaining the confidentiality of its login credentials and API keys. Customer assumes full responsibility for all activities, automated API calls, and monitoring configurations executed under its account. Customer agrees to immediately notify DiffFlow at [email protected] upon discovering any unauthorized account access or credential compromise.
6. Fees, Billing & Subscription Terms
Subscription Fees: Paid tiers (e.g., Growth, Pro, Enterprise) are billed in advance on a recurring monthly or annual basis via our designated payment processor, Stripe, Inc. By subscribing, Customer authorizes recurring automatic charges to the designated payment method until cancellation.
Taxes: All stated fees are exclusive of applicable federal, state, local, sales, value-added (VAT), or withholding taxes. Customer is responsible for remitting all taxes associated with its subscription.
Modifications & Pricing Changes: DiffFlow reserves the right to modify subscription pricing upon providing at least thirty (30) days prior written notice (via email or platform notification). Continued use following the effective date of a price adjustment constitutes acceptance.
Cancellation & Refund Policy: Customer may cancel a subscription at any time through the platform billing settings. Cancellation takes effect at the conclusion of the current billing cycle. DiffFlow does not provide prorated refunds or credits for partial billing periods or unused monitor quotas.
7. Intellectual Property Rights
DiffFlow Property: DiffFlow and its licensors retain all right, title, interest, and intellectual property in and to the Service, including all software, source code, DOM normalization algorithms, diff hashing engines, user interfaces, documentation, trade secrets, trademarks, and service marks. Nothing in this Agreement transfers ownership of any DiffFlow intellectual property to Customer.
Customer Data: Customer retains all right, title, and ownership in its monitor configurations, CSS selector definitions, and proprietary data ("Customer Data"). Customer grants DiffFlow a worldwide, royalty-free, limited license to host, process, cache, snapshot, and transmit Customer Data strictly as necessary to provide, maintain, and optimize the Service.
Feedback: If Customer provides suggestions, enhancement requests, or recommendations ("Feedback"), Customer grants DiffFlow an irrevocable, perpetual, royalty-free, worldwide license to implement and incorporate such Feedback into the Service without attribution or compensation.
8. Service Availability & Maintenance
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. While DiffFlow utilizes redundant cloud infrastructure and active health monitoring to achieve high availability, DiffFlow does not guarantee uninterrupted, error-free, or zero-latency operation. Standard tiers (Developer, Growth) do not include a formal Service Level Agreement (SLA).
DiffFlow reserves the right to perform scheduled maintenance, emergency security patches, and system upgrades. DiffFlow will make reasonable efforts to post advance notice of scheduled maintenance on our public status page at diffflow.com/status.
9. Term, Suspension & Termination
Term: This Agreement commences upon Customer's initial access or registration and continues until terminated by either party in accordance with these Terms.
Termination for Convenience: Customer may terminate this Agreement at any time by deleting its account via the account settings interface.
Termination for Cause: DiffFlow may immediately terminate or suspend Customer's access to the Service without liability if: (a) Customer materially breaches any provision of these Terms; (b) payment is declined or overdue; (c) Customer's monitoring activity poses a security risk to DiffFlow or third parties; or (d) required to do so by court order or regulatory authority.
Effect of Termination & Data Purge: Upon termination, all active monitors immediately cease execution. Customer Data and diff histories are retained for thirty (30) days to allow for account recovery, after which they are irreversibly deleted from production storage, subject to statutory tax retention requirements.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIFFFLOW AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.
DIFFFLOW MAKES NO REPRESENTATION OR WARRANTY THAT: (A) THE SERVICE WILL MEET CUSTOMER'S SPECIFIC REQUIREMENTS; (B) DIFF DETECTION WILL BE ERROR-FREE, TIMELY, OR 100% ACCURATE; (C) ALERT NOTIFICATIONS WILL BE DELIVERED WITHOUT CARRIER OR NETWORK DELAY; OR (D) TARGET WEBSITES WILL REMAIN ACCESSIBLE WITHOUT ANTI-SCRAPING BLOCKADES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIFFFLOW, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL DIFFFLOW'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY CUSTOMER TO DIFFFLOW UNDER THE APPLICABLE SUBSCRIPTION IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
12. Indemnification
Customer agrees to defend, indemnify, and hold harmless DiffFlow, its corporate parent, subsidiaries, affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including reasonable legal fees and litigation costs) arising from or relating to: (a) Customer's access to or use of the Service; (b) Customer's violation of any provision of these Terms or Acceptable Use Policy; (c) Customer's target URLs, monitored endpoints, or extracted data violating third-party intellectual property rights, terms of service, or privacy rights; or (d) any unlawful or unauthorized automated web scraping conducted via Customer's account.
13. Dispute Resolution & Governing Law
Governing Law: This Agreement and any disputes arising out of or related hereto shall be governed by and construed in accordance with the internal laws of the State of Delaware, United States of America, without regard to conflict of law principles or the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Jurisdiction: Customer and DiffFlow consent to the exclusive personal and subject-matter jurisdiction of the state and federal courts situated in New Castle County, Delaware for the adjudication of any dispute or claim arising under this Agreement.
Class Action & Jury Waiver: CUSTOMER AND DIFFFLOW AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE PARTIES IRREVOCABLY WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT.
14. General Provisions
Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
Entire Agreement: These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire and exclusive understanding and agreement between DiffFlow and Customer regarding the Service, superseding all prior oral or written agreements, proposals, or understandings.
Assignment: Customer may not assign or transfer this Agreement, by operation of law or otherwise, without DiffFlow's prior written consent. DiffFlow may freely assign or transfer this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
Force Majeure: DiffFlow shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, labor disputes, telecommunications failures, cloud provider outages, or governmental action.
Modifications to Terms: We may revise these Terms from time to time. Material modifications will be communicated via email or prominent platform notice at least fourteen (14) days prior to taking effect. Continued use of the Service following effective modifications constitutes acceptance of the revised Terms.
